Business Terms of Sale

Please read these Terms carefully before you place your order. They explain who we are, how we will provide your product, what happens if something goes wrong, and the terms on which we supply products to business customers through our Shopify store.

These Terms currently apply to Energy Clamp, but will apply to any future products sold through our Shopify store unless we state otherwise.

1. About these Terms

These are the terms and conditions on which Chameleon Technology (UK) Limited (“we”, “us”, or “our”) supplies products to business customers through our Shopify store.

By placing an order, you agree to be bound by these Terms and confirm that you are purchasing on behalf of a business, in the course of business, and not as a consumer or for personal, domestic or household use.

We are Chameleon Technology (UK) Limited, registered in England and Wales under company number 07388340.

Our registered office is: First Floor, Central House, Otley Road, Harrogate, HG3 1UG.

Our VAT number is GB102998308.

3. Ordering and Contract Formation

When you place an order, we’ll send you an email confirming we’ve received it.

Your order is accepted, and a legal contract formed, when we send you an Order Confirmation email.

If we can’t accept your order, for example because an item is out of stock, payment can’t be processed, or the order does not appear to be a business order, we’ll let you know and won’t charge you.

We only supply products for delivery within the United Kingdom, excluding Northern Ireland.

4. Our Products

We currently sell Energy Clamp through our Shopify store.

Energy Clamp is a Zigbee 3.0-enabled wireless sensor that measures current flow. Each product is described on our Shopify store. Please check compatibility before purchasing.

To work correctly, the product requires suitable compatible equipment and installation in accordance with the applicable product instructions.

The product is supplied to business customers only. It is not sold through this store for personal, domestic or household use.

The product is designed to provide current-flow and energy-related data for information purposes only. It does not control your energy supply and does not guarantee the accuracy, availability or continuity of data displayed or transmitted through any connected system, app or platform.

5. Delivery

Delivery costs and timescales are shown during checkout.

We’ll endeavour to deliver your order within 3-5 working days from the point at which you place it, or as soon as reasonably possible, and within 30 days of order acceptance.

If there’s a significant delay, you may cancel your order and receive a full refund.

6. Cancellations and Returns

These Terms apply to business customers only. You do not have a consumer right to cancel your order.

Once your order has been accepted, you may only cancel it if we agree or if you are entitled to do so under these Terms.

If your order has already been dispatched, please follow the steps in our Returns Policy.

Returns are only accepted where the product is faulty under clause 7, or where we agree otherwise in writing.

Refunds will be made within 14 days of us receiving your returned product, or evidence you’ve sent it back, where a refund is due under these Terms.

7. Product Warranty

All products come with a 12-month warranty from the date of delivery.

If your product develops a fault within this period, we’ll replace it or refund the purchase price.

This warranty does not cover faults caused by:

·       poor signal, loss of connection, or failure of third-party networks or systems;

·       incompatible equipment or systems;

·       incorrect installation, misuse, negligence, or use outside the applicable product instructions;

·       damage caused by events beyond our control, including power surges, flooding or tampering.

To make a warranty claim, email us at customercare@chameleontechnology.co.uk with the subject “Warranty Return”, including your name, business name, address, and order details.

Replacement products will be warranted for the remainder of the original 12-month warranty period.

9. Data and Privacy

Where your use of a product involves data being transmitted to our systems, apps or platforms, we will handle that data in accordance with our Privacy Policy.

You are responsible for ensuring that you have all permissions, consents and notices required for your use of the product, including where the product is installed at premises or used in connection with energy or environmental data relating to any third party.

We may use trusted third parties to manage connectivity, hosting, support and system updates, but only share information necessary to provide the relevant product or service.

10. Updates

We may provide remote software or firmware updates to improve performance, security or compliance.

These updates are provided free of charge where applicable while the product remains connected to a supported system.

11. Price and Payment

All prices include VAT unless stated otherwise.

You must pay in full at the time you place your order, using the payment method offered on our Shopify store.

We’ll only dispatch products once payment has been successfully processed.

12. Our Liability

We’re responsible for any loss or damage you suffer that is a foreseeable result of us breaching these Terms or failing to take reasonable care. Loss or damage is foreseeable if it was an obvious consequence of our actions or if it was discussed with you at the time you placed your order.

We do not exclude or limit our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot legally be excluded or limited.

The product is designed to display or transmit current-flow and energy-related data for information purposes only. It does not control your energy supply or guarantee the accuracy, availability or continuity of data displayed or transmitted through any connected system, app or platform.

We are not liable for any loss or damage caused by:

·       interruptions or failures in your internet connection, network, Zigbee connection, app, platform, or third-party systems we don’t control;

·       inaccuracies in data received from meters, sensors, connected equipment, apps, platforms or third-party systems;

·       use of the product outside the applicable product instructions or compatibility requirements;

·       events outside our reasonable control.

Although we supply products for business use, we are not liable for any loss of profit, loss of business, loss of revenue, loss of opportunity, loss of goodwill, loss of anticipated savings, business interruption, or indirect or consequential loss.

Except where we cannot legally limit it, our total liability to you for any loss or damage arising from or in connection with this contract shall not exceed the price you paid for the product giving rise to the claim.

13. Other important terms

This contract is between you and us, no one else has rights under it.

Any purchase order terms, customer standard terms or other terms provided by you do not apply to this contract, even if referred to in an order or other communication.

If a court finds part of these Terms unlawful, the rest will remain in force.

We may update these Terms from time to time by posting a revised version on our Shopify store. The Terms that apply to your order are the Terms in force when your order is accepted.

14. Governing Law

These Terms are governed by English law.

The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising out of or in connection with these Terms or any order placed through our Shopify store.
